M&A Expert Manager

This training course is recommended for business owners and decision-makers who are planning a sale or an acquisition transaction, as well as for experts who work in the finance, tax and legal fields, especially for players in the investment, banking and capital markets sectors. Course participants will familiarise themselves with the legal, taxation and accounting aspects of M&A processes. 

The training consists of three different parts.

1. Deals 

Topics covered in the training: 

  • Types of M&A transactions, process, and transaction “map”,

  • Parties to the M&A transaction, the role of advisers,

  • Major documents associated with the M&A process (teaser, NDA, info memo, indicative bid, term sheet, binding bid, SPA),

  • Due diligence: purpose, process, possible outcomes, and common pitfalls,

  • Pricing the transaction, main types of purchase price accounting, pros and cons,

  • Transaction agreement, closing the transaction,

  • Integration.

2. Tax and Legal

Topics covered in the training: 

  • Structuring the transaction and viewing the process from a legal perspective: share vs. asset sale and purchase

  • Legal due diligence and its effects on the transaction

  • Main issues concerning the SPA: civil law and other problems,

  • Common law background of the transactions: key English law considerations, terminology and their use in contracts,

  • Competition law and compliance during transactions: confidentiality in due diligence, “clean teams,” reporting and consultation with the authorities,

  • Labour law aspects: consultation with employees and representative bodies, and legal succession under labour law,

  • National reporting and authorisation rules, specific procedures for regulated industries,

  • High-level taxation-related challenges of M&A transactions (tax due diligence, structuring matters).

3. Finance and Accounting

  • Overview of acquisition accounting,
  • Accounting for acquisitions in the standalone financial statements,

  • Accounting for acquisitions in the consolidated financial statements,

  • Key accounting issues, tips and hints,

Fundamental insight into the world of finance

This one-day training provides a basic overview of the world of finance. The course focuses on financial statements, corporate finance, business operations and taxes.

After completing the course you will:
  • Learn more about financial information: types of financial statements, parts of financial statements, balance sheet, balance sheet conformity, profit and loss statement (by nature/function), accounting policy, regulations, accounting information system (general ledger, sub-ledger, accounting documents), the impact of economic events, year-end closing, preparing and analysing financial statements,

  • Understand corporate finance: identifying and managing financial risks, liquidity, economic/operational risks, cash handling, funding a business,

  • Get familiar with business operations: dividend payment, providing  loans to shareholders and related entities,

  • Get an overview of tax matters: income taxation of companies, value added tax.

Non-Financial Reporting

Non-Financial Reporting is considered globally as a common standard in the communication of biggest companies across various sectors. It focuses on environmental impact, diversity as well as activities towards communities, employees and other stakeholders. Non-Financial information is regularly published on the internet as a social responsibility report or as part of an annual report. The course is designed for people who deal with annual reports as well as social responsibility issues and want to effectively connect these areas together.

After completing the course you will:
  • Have information about new Czech legislation, which was adopted in accordance with EU regulations, and its relevance to your company,

  • Utilise certain methods and principles to draft the main thematic areas of reports,

Budgeting & controlling: a comprehensive roadmap at strategic, tactical and operational level

Our 2-day course focuses on deepening knowledge, skills and professional judgment in the selection and application of accounting methods for strategic management in various business contexts. It also concentrates on the evaluation of organisation performance and strategic development, application of accounting techniques in the processing of quantitative and qualitative information for planning, decision making, evaluation and monitoring of the company performance.

  • The rational model of strategic planning, including a wide range of qualitative models,

  • The concepts of value and cost. Definitions and a wide range of examples, including traditional and modern costing techniques: marginal, absorption, activity based,

  • Types of budgets: flex, rolling, zero based, beyond, activity based,
