PwC Serbia provided lead financial and legal buy-side support

PwC Serbia provided lead financial and legal buy-side support to the Swiss Corporation Arbonia AG, in their acquisition of the 100%  stake in Termovent, a leading producer of HVAC and Clean Room systems in Serbia. 

Project activities and deliverables included financial, tax and legal due diligence, as well as financial and legal advisory in the preparation and negotiation of the Sales & Purchase Agreement (SPA).

The main goals of the engagement were to highlight the key issues impacting the deal value drivers, discover any hidden risks that could impact the purchase price and address them accordingly in the SPA to safeguard value for our client.

In addition to buy side advisory, our Consulting team advised the client on commercial aspects of the deal by preparing a historical market overview as well as a market model. 

Arbonia Group is active worldwide with its own distribution companies as well as offices and partners in more than 70 countries. Its main production sites are located in Switzerland, Germany, the Czech Republic, Poland, Slovakia and Italy. Arbonia employs a total workforce of around 7,600. The divisions that make up Arbonia are active in the following sectors: heating technology, air-conditioning and ventilation technology, sanitary equipment, windows, and exterior and interior doors.

Our team supported Arbonia in their plans to acquire Termovent and we are looking forward to supporting them on future projects in Serbia.
